A. A certificate of amendment is a document filed with your state of formation or if applicable with any states in which your company has foreign qualified to transact business, to enact a specific change to the information included in your company's articles of incorporation (for corporations) or articles of organization (for LLCs).

Q. What items may be amended when a certificate of amendment is filed with the state?
A. The certificate of amendment allows for updates to be made to the company name, business purpose or for corporations only the share information. In addition, some states allow and/or require director, officer and member and manager information to be updated on the certificate of amendment.
